Welcome to Skylit. By accessing or using our website, products, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By creating an account, purchasing a subscription, or otherwise using the Services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Services.

2. Description of Services

Skylit provides an AI-native trading terminal and related tools, including but not limited to Atlas, Heatseeker, Flowseeker, and Talon, designed for self-directed traders across equities, futures, and options. Some features may be in development or announced ahead of release.

3. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.

4. Account Registration

You may be required to create an account to access certain features. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use

5. Acceptable Use

You agree not to:

Use the Services for any unlawful purpose or in violation of any applicable regulations
Attempt to gain unauthorized access to any part of the Services
Interfere with or disrupt the integrity or performance of the Services
Reverse engineer, decompile, or disassemble any aspect of the Services
Use automated systems to scrape or extract data from the Services
Live-stream, simulcast, or broadcast real-time views of the Services to any audience, including but not limited to streaming platforms, video conferencing tools, or community servers such as Discord
Share account credentials or provide real-time access to the Services to individuals who do not hold their own active subscription

6. SMS Alerts and Text Messaging

Skylit offers an optional SMS alert program that delivers trade and market alerts based on the conditions and watchlists you configure in the Services. By providing your mobile phone number and opting in, you consent to receive automated text messages from Skylit at that number. Consent is not a condition of purchase, and you may use the Services without enrolling.

Message frequency: Message frequency varies and depends on the alerts you choose to configure.
Message and data rates may apply. Skylit does not charge for SMS alerts, but your mobile carrier may charge you for sending and receiving messages.
To cancel: Reply STOP to any message, or turn off SMS alerts in your account settings. You will receive a single confirmation message, after which no further messages will be sent.
For help: Reply HELP to any message, or contact us at support@skylit.ai.
Carrier liability: Wireless carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your carrier and is not guaranteed.
Eligibility: You must be at least 18 years of age and the account holder or authorized user of the mobile number you provide. You agree to notify us if you no longer use that number.

SMS alerts are provided on a best-effort basis. Messages may be delayed, undelivered, or delivered out of order for reasons outside our control, including carrier congestion, network outages, and device settings. You should not rely on SMS alerts for time-sensitive trading decisions. Alerts are informational only and do not constitute financial advice, as described in Section 7.

Information about how we handle your mobile number is described in our Privacy Policy. We do not sell, rent, or share mobile numbers with third parties or affiliates for marketing or promotional purposes.

7. Financial Disclaimer

The Services are provided for informational and analytical purposes only. Nothing provided through Skylit or HeatSeeker constitutes financial advice, investment advice, or a recommendation to buy, sell, or hold any security. Trading involves substantial risk of loss. You are solely responsible for your trading decisions.

8. Intellectual Property

All content, features, and functionality of the Services are owned by Skylit AI Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

9. Content Usage and Redistribution

All data, visualizations, heatmaps, and analytics displayed through the Services (collectively, "Content") are proprietary to Skylit AI Inc. and are licensed solely for your personal, non-transferable use during your active subscription.

Prohibited redistribution includes, but is not limited to:

Live-streaming or screen-sharing real-time Content to any audience, whether public or private, including via Discord, Twitch, YouTube, Zoom, or similar platforms
Providing real-time access to the Services to individuals who do not hold their own active subscription, including through shared screens, mirrored displays, or co-viewing arrangements
Systematically redistributing Content through any medium that allows third parties to receive data updates in real time or near-real time

Permitted uses:

Capturing and sharing screenshots of Content for marketing, promotional, educational, or personal commentary purposes
Recording and sharing video replays or screen recordings of past sessions for marketing, promotional, educational, or personal commentary purposes
Discussing or referencing Content in written form (e.g., blog posts, social media, trade journals)

The distinction is between real-time redistribution (prohibited) and after-the-fact sharing (permitted). If you are unsure whether a specific use is allowed, please contact us at support@skylit.ai before proceeding.

Violation of this section may result in immediate suspension or termination of your account without refund.

10. Subscriptions and Payments

Certain Services may require a paid subscription. By subscribing, you agree to pay the applicable fees. Subscriptions may auto-renew unless cancelled. Refund policies will be specified at the time of purchase.

11. Termination

We may suspend or terminate your access to the Services at our discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or the Services.

12. Limitation of Liability

To the fullest extent permitted by law, Skylit AI Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or trading losses, arising from your use of the Services.

13. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Services will be uninterrupted, error-free, or free of harmful components.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Services or via email. Continued use of the Services after changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
